会计群分享之BOD member Rewards

今天呢，stock admin发给我一封邮件，是今年board member的reward表格，让我review。一打开我就晕了，什么鬼。。。

后来呢，只好找stock admin一点一点去帮我理解。Board member名字我略去了，用AA到HH的字母代指。

首先，背景一：我问了为啥这个图表这么复杂，但是看起来好像每个人拿到的都是一样多

Each Board member get 1 Cash Retainer and 1 Equity Retainer.

The Board member can pick what they want for both Cash and Equity Retainer

For the Cash Retainer, the Board member has a choice to receive cash, fully vested stock or fully vested stock that is deferred (DSUs).

For the Equity Retainer, the Board member has a choice to receive unvested RSAs or unvested DSUs.

然后，背景二：我问了这个是我们公司独有的结构，还是industry standard

For our company, we had the Cash and Equity Retainer for a while. The choice to have Cash Retainer convert to stock, and the choice to have the award deferred or non-deferred are most recent changes.

The changes were made because a Board member had inquired about it, and they indicated that they were able to make those same choices with other companies that they were involved as a Board member.

背景三：我问了谁决定non-deferral还是deferral awards

Deferral or non-deferral is at the Board member’s personal discretion.

背景四：基本就是综合上面来解读每个column啥意思

Cash Retainer- cash is just cash

Cash Retainer-fully vested is fully vested shares

RSAs are vesting shares; non-deferred means that when they vest, the shares will be issued to them and they will recognize income when they vest.

Vesting DSUs will vest on a similar schedule, but when they vest, the shares will not be distributed to them since it is deferred, no income recognized until they terminate.

For the cash/fully vested shares (non-deferred), they will be taxed in the year of receipt.

RSAs when they vest, they become income in the year of vesting

DSUs (vested and unvested) will not be taxed until they distributed (termination). DSUs will also be eligible to receive DEUs (dividend).
